Welcome to Menuity.co! These Terms of Service ("Terms") govern your access to and use of the Menuity.co website, services, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
Menuity.co provides an online menu creation platform primarily for restaurants. Our Service allows restaurants to create and manage their digital menus, which can then be viewed by their customers. Menuity.co also facilitates subscription payments for restaurants to access and use our Service through Stripe.
By registering for, accessing, or using the Service, you represent that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms. You also acknowledge and agree that your use of the Service is subject to our Privacy Policy, which is incorporated by reference into these Terms.
The Service is designed for two primary user types:
To access certain features of the Service, restaurants may need to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
Menuity.co offers subscription plans for restaurants. All subscription payments are processed through Stripe. By subscribing, you agree to Stripe's terms of service and privacy policy. Menuity.co does not directly handle or store your payment card information. You are responsible for all fees, including applicable taxes, associated with your subscription.
All intellectual property rights in and to the Service, including all software, text, graphics, logos, and trademarks, are owned by Menuity.co or its licensors. You may not use any of Menuity.co's intellectual property without our prior written consent.
You agree not to use the Service to:
Menuity.co reserves the right to suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for any reason, including but not limited to:
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. MENUITY.CO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. MENUITY.CO DOES NOT WARRANT THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MENUITY.CO, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE. IN NO EVENT SHALL MENUITY.CO'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO MENUITY.CO FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Menuity.co and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including without limitation, any intellectual property or privacy rights.
The Service is intended for users who are at least 18 years old. By using the Service, you represent and warrant that you are at least 18 years of age. If you are under 18, you are not permitted to use this Service. Menuity.co does not knowingly collect personal information from individuals under the age of 18.
These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, without regard to its conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, shall be first subject to good faith negotiations between the parties. If a resolution cannot be reached through negotiation within sixty (60) days, the parties agree to resolve the dispute through binding arbitration administered by a mutually agreed-upon arbitration service in Manitoba, Canada, in accordance with its rules for commercial arbitration. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding upon both parties.
The Service integrates with third-party services, including Supabase (for database services) and Stripe (for payment processing). Your use of these third-party services is subject to their respective terms of service and privacy policies. Menuity.co is not responsible for the practices of these third parties.
Menuity.co reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
